These Terms of Service (“Terms”) are an agreement between you and 40 Degrees Media, LLC (“we”, “us”), which runs Client Review Platform (“CRP”). By signing up for or using CRP, you agree to these Terms. If you sign up for a business, you confirm that you can agree on its behalf.

1. The service

CRP gives businesses (“members”) a branded review page, a dashboard, a review widget and, depending on the plan, review request emails, reports, social graphics and Google Business Profile tools. Features marked “coming soon” are not yet available, and we may change or improve features over time.

2. Honest reviews

CRP is built to help real customers leave real reviews. You agree that you will:

• Only send review requests to real customers who did business with you.
• Never write, buy or post fake reviews, or ask anyone else to.
• Never offer payment, discounts or gifts in exchange for reviews.
• Never use CRP to stop unhappy customers from leaving public reviews. Every customer sees your review links, whether they tap Yes or No.
• Follow the rules of each review site you use, including Google, Facebook and Yelp. Some sites limit how businesses can ask for reviews, and it is your responsibility to follow their rules.

We may suspend or close accounts that break these rules.

3. Your customer list and emails

When you give us customer names and email addresses, you confirm that you collected them lawfully and have the right to contact those people. We send review requests on your behalf with an unsubscribe link and your business mailing address, and we honor every unsubscribe. You agree to follow anti-spam laws, including the CAN-SPAM Act.

4. Your account

Keep your login private and your account information accurate. You are responsible for activity under your account. Tell us right away at [email protected] if you think someone else has used it.

5. Plans, billing and cancellation

• Plans are billed monthly or yearly through Stripe. Prices are listed on our Get Started page. There is no setup fee.
• Your plan renews automatically until you cancel. You can cancel anytime from your billing page, and your plan stays active until the end of the period you paid for.
• Payments are not refunded for partial months or years, unless the law requires it.
• Monthly plans can be paused for up to 3 months in a 12-month period. Yearly plans cannot be paused.
• We may change prices with at least 30 days’ email notice. Changes apply from your next billing period.
• If a payment fails, we may pause your service until it is resolved.

6. Your content

You keep ownership of your logo, business name and other content you give us. You give us permission to use it to provide CRP: on your review page, dashboard, widget, emails, reports and social graphics. You also allow us to show your business name and review page as an example of CRP, unless you ask us not to.

7. Google and other review sites

CRP is not affiliated with or endorsed by Google, Facebook, Yelp or any other review site. Their names and logos are trademarks of their owners. Reviews and ratings shown by CRP come from those sites and are subject to their terms, including the Google Maps Terms of Service. Google limits how many reviews it shares with us, so the widget and reports may not show every review. If you give us manager access to your Google Business Profile, you can remove it at any time.

8. No guarantee of results

Many businesses get more reviews with CRP, but results depend on things we don’t control, such as your industry, how many customers you serve, when you ask, and the quality of your work. We do not guarantee any number of reviews, a rating, or search rankings.

9. Availability

We work to keep CRP running smoothly, but we can’t promise it will always be available or error-free. We may pause the service for maintenance or updates.

10. Ending your account

You can cancel anytime. We may suspend or close an account that breaks these Terms or misuses the service. After your account closes, your review page and widget stop working, and we handle your data as described in our Privacy Policy.

11. Disclaimers and limits

CRP is provided “as is” and “as available,” without warranties of any kind, to the extent the law allows. To the extent the law allows, we are not liable for indirect, incidental or lost-profit damages, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

12. Indemnity

If a claim against us arises from how you used CRP, such as emails you asked us to send or a review site’s rules you broke, you agree to cover the reasonable costs of that claim.

13. Governing law

These Terms are governed by the laws of the State of Ohio. Any dispute will be handled in the state or federal courts serving Delaware County, Ohio.

14. Changes to these Terms

We may update these Terms. If we make important changes, we will update the date at the top and email members at least 14 days before they take effect.
